A confirmation statement is the annual check that the public information Companies House holds about your company is correct. It replaced the annual return in 2016, although many directors still use the old name. The filing confirms information such as the registered office, directors, people with significant control, business activity, shareholders and share capital.
It is not simply a declaration that nothing has changed. If something is wrong, some details can be corrected through the confirmation statement and others must be updated using a separate Companies House form before or alongside it. That distinction matters because confirming an inaccurate record can create avoidable compliance problems later.
Every company has a review period, normally 12 months from incorporation or from the date of its last confirmation statement. You must file within 14 days after that review period ends. You can file earlier, but doing so starts a new 12-month review period from the filing date.
Companies House does not currently charge an automatic late-filing penalty for a confirmation statement in the same way it does for late accounts. However, failing to file is still a criminal offence by the company and its officers. Companies House can begin strike-off action, which may lead to the company being removed from the register. An overdue filing can also concern banks, lenders, suppliers and potential investors who check the public record.
We need the company number and authentication code, plus confirmation of the registered office and the email address Companies House holds for the company. We check the directors and any company secretary, the standard industrial classification or SIC code, the statement of capital, shareholder information and the register of people with significant control.
